Why CSRD Matters — Even for UK Companies
CSRD must be included in the Management Report. What we are currently seeing is CSRD disclosures are finding their way in an integrated fashion, into the annual reports.
EFRAG recommends that CSRD sustainability disclosures be included in the annual report to maintain regulatory compliance, enhance assurance, improve comparability, and strengthen investor confidence and governance oversight. This approach integrates financial and non-financial information, providing a clearer and more holistic view of a company's long-term sustainability and overall stability.
CSRD is being rolled out in stages, affecting an increasing number of companies over the next few years. As of 2024, it applies to large EU-listed companies currently reporting on Non-Financial Reporting Directive (NFRD), with further phases extending to other large entities and, eventually, smaller companies. Importantly, UK companies with significant operations or subsidiaries in the EU will need to comply. This means UK businesses that wish to remain competitive and maintain access to European investors should be preparing their sustainability report in line with CSRD.
A key feature of CSRD is double materiality, which requires companies to assess and report not only how sustainability issues impact their financial performance (financial materiality) but also how their operations affect society and the environment (impact materiality). This dual aspect means that businesses provide a whole view of their ESG performance, reinforcing the importance of structured, secure, and transparent reporting to meet stakeholder expectations.
With the Digital Operational Resilience Act (DORA) coming into effect on January 17, 2025, financial institutions and their service providers, including those handling ESG and sustainability data, must adhere to strict cybersecurity and incident reporting requirements. Since ESG data is now a key factor in investment decisions and can directly impact share prices, DORA. mandates that sustainability data be handled with the same level of security as financial data. This means businesses must ensure that their ESG reporting processes operate in a secure and resilient environment to protect against cyber threats and data integrity issues, underlining the material importance of such data.
Given ESG reporting playing a critical role in investment strategies, businesses that don’t meet the growing demand for securely handled, machine readable and structured sustainability disclosures risk being behind the curve.
